By creating an account or using the NexaChat service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
These Terms constitute a legally binding agreement between you ("Customer", "you") and NexaChat ("we", "us", "our"), operated from Sydney, New South Wales, Australia.
NexaChat provides an AI-powered chat widget that can be embedded on your website. The Service includes:
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to active subscribers.
You must provide accurate information when creating an account. You are responsible for keeping your login credentials secure. You must notify us immediately of any unauthorised access to your account.
You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or your business.
New accounts include a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. Trial accounts may be limited in certain features at our discretion.
Paid subscriptions are billed monthly in advance. All prices are in Australian dollars (AUD) and are inclusive of GST where applicable.
Payments are processed by Stripe. By subscribing, you authorise us to charge your payment method on a recurring monthly basis. If a payment fails, your account may be suspended until payment is received.
We reserve the right to change pricing with 30 days' notice to existing subscribers. Price changes will not apply until your next renewal after the notice period.
You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of your current billing period — you retain full access until then and won't be charged again.
We don't offer refunds for partial subscription periods. However, if something went wrong on our end — a billing error, a duplicate charge, or a technical failure that prevented you from using the service — contact us within 14 days at hello@nexachat.au and we'll make it right.
You agree not to use the Service to:

NexaChat and its underlying technology remain our intellectual property. We grant you a limited, non-exclusive, non-transferable licence to use the Service for your business purposes during your subscription.
You retain all rights to content and data you create using the Service, including your chatbot configuration and lead data.
Agency plan subscribers may install and manage the Service on behalf of their clients. You are responsible for ensuring each client's use complies with these Terms. You may set your own pricing for clients. You may not misrepresent the underlying technology or claim the Service as your own original creation to clients.
The Service is provided "as is" without warranty of any kind. We do not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements. AI-generated responses may occasionally be inaccurate — you are responsible for reviewing and updating your chatbot's knowledge base.
To the maximum extent permitted by Australian law, our liability to you for any loss or damage arising from your use of the Service is limited to the amount you paid in subscription fees in the 30 days preceding the claim. We are not liable for any indirect, incidental, or consequential loss.
These Terms are governed by the laws of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of New South Wales.
We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes your acceptance.
